Terms of Sales
1. Orders
All orders are subject to written acceptance by ID-Illuminated Devices. Changes or cancellations require written approval and may result in additional charges.
2. Prices and Payment
Prices are in the currency stated on the quotation and exclude applicable taxes, shipping, duties, brokerage and customs charges unless otherwise specified. Payment terms are stated on the quotation or invoice. Illuminated Devices may require a deposit before production.
3. Lead Times and Delivery
Lead times are estimates and begin once all required approvals and deposits have been received. Illuminated Devices is not responsible for delays beyond its reasonable control.
4. Shipping, Duties and Import Charges
Delivery terms will be indicated on the quotation or order confirmation. Unless otherwise agreed in writing, the customer is responsible for shipping costs.
5. Made-to-Order Products
Products manufactured, finished or configured to order cannot be returned or cancelled once production has begun, except in the case of a verified defect.
6. Inspection and Claims
Products must be inspected promptly upon receipt. Claims for visible damage, shortages or incorrect products must be submitted in writing within five (5) business days of delivery.
7. Installation
Products must be installed by qualified persons in accordance with applicable electrical codes and installation instructions. Illuminated Devices is not responsible for damage resulting from improper installation, misuse or unauthorized modification.
8. Warranty
Products are covered by the Illuminated Devices Warranty Policy in effect at the time of sale. After the warranty period, customers are encouraged to contact us regarding possible repair, retrofit or responsible repurposing of the product.
9. Limitation of Liability
To the extent permitted by law, Illuminated Devices’ liability is limited to the repair, replacement or refund of the affected product, at its discretion. Illuminated Devices is not liable for indirect, incidental, consequential or project delay damages.
10. Governing Law
These Terms of Sale are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
11. Entire Agreement
The accepted quotation, order confirmation, applicable warranty policy and these Terms of Sale constitute the entire agreement between ID-Illuminated Devices and the customer, unless otherwise agreed in writing.
Warranty
At ID-Illuminated Devices, we design luminaires with care, select components for lasting performance, and believe that well-made products should remain useful for many years.
All ID products are covered by a five (5) year limited warranty from the date of shipment to the original customer. This warranty applies to the complete luminaire and all of its components, including mechanical parts, electrical components, LED light sources, drivers and power supplies.
For five years from the date of shipment, ID warrants that its products will be free from defects in materials and workmanship under normal use, provided that they are properly installed, operated and maintained in accordance with applicable electrical codes, product specifications and installation instructions.
If a product or component is determined by ID to be defective during the warranty period, we will, at our discretion: repair the defective product or component; replace the defective product or component; or provide an equivalent replacement where the original product or component is no longer available.
As products and technologies evolve, a replacement component may differ from the original in appearance or technical characteristics while providing comparable intended performance.
This warranty applies when the product has been properly selected for its intended application and installed by qualified personnel in accordance with applicable codes and ID instructions.
It has been operated within its specified electrical and environmental conditions and
has not been altered, modified or repaired without prior written authorization from ID.
This warranty does not cover damage, failure or deterioration resulting from:
improper selection, installation, wiring, operation or maintenance;
installation contrary to applicable codes, product specifications or installation instructions;
misuse, negligence, accident, abuse or vandalism;
unauthorized modifications, field alterations or repairs;
abnormal operating conditions, power irregularities or unsuitable environmental exposure;
damage occurring during transportation, storage, handling or on-site installation;
normal wear, ageing or cosmetic changes;
normal depreciation in LED lumen output or normal variations in LED colour performance over time; or products or components not supplied by ID.
Unless otherwise required by applicable law or expressly agreed to in writing by ID, this warranty is limited to the repair or replacement of the defective product or component.
It does not include costs related to removal, access equipment, site work, troubleshooting, reinstallation, labour, freight, project delays, loss of use, or incidental, indirect or consequential damages.
Products should not be returned without prior written authorization from ID. We may request additional information or inspection of the product before confirming the appropriate remedy.
Our commitment to our products does not end when the warranty period expires.
If an ID luminaire requires attention after five years, we encourage you to contact us. Wherever practical, we will help identify an appropriate path to repair, retrofit or repurpose the product, extending its useful life and avoiding unnecessary replacement.
Depending on the age of the product, the availability of components and the nature of the work required, services or replacement parts provided outside the warranty period may be subject to applicable charges.
This limited warranty is provided in addition to any rights available under applicable law.
For consumers in Québec, products are also covered by the legal warranties provided under the Consumer Protection Act, including warranties relating to normal use, reasonable durability and hidden defects. These legal warranties apply automatically and without charge and are not limited or replaced by this limited warranty.
To the extent permitted by applicable law, ID disclaims all other warranties, representations or conditions, express or implied, including implied warranties or conditions of merchantability or fitness for a particular purpose
